One defined stock lot may include several brands, item groups, market versions or stock locations. We assess the lot as a whole and discuss whether a direct purchase is possible under any relevant commercial arrangements.

Commercial stock
When distribution stock falls outside current plans
Importers and distributors buy and distribute stock based on expected purchases, agreed minimum quantities and planned deliveries to different markets and sales channels. When actual demand differs, part of the stock may fall outside current sales plans.
This may arise from minimum purchase quantities, cancelled customer orders, revised forecasts, a shift in market demand or a reduced product range. The products may remain new and fully saleable while the available quantities no longer fit current demand or the desired stock level.

A changed or terminated supplier or distribution relationship
A relationship may change because an agreement is not renewed, a brand moves to another distributor, a sales territory changes or an importer discontinues a product line. Regular supply then stops while saleable stock remains with the importer or distributor.
The change or termination does not automatically mean this stock can be sold without further coordination. Arrangements may still apply to a sell-through period, return to the supplier, permitted territories or channels, and use of brand and product information.
Tell Stock & Trade about these arrangements early. We then assess whether the remaining stock can be purchased directly within a clear and workable structure.

Stock with many items, brands or locations
Distribution stock often comprises many item numbers, several brands or different product and market versions. The goods may also be distributed across a central warehouse, regional distribution sites or several countries.
You do not need to split the stock into separate offers by item, brand or location in advance. An existing export from the stock or warehouse system may be used as a starting point, provided it clearly shows the items, quantities and locations included.
For a joint assessment, ownership must also be established. If parts of the stock belong to different group companies, we assess whether they can be handled in one coordinated process or need to remain separate stock lots.

Market versions, product documentation and commercial arrangements
Products with the same brand or model name may differ between countries in specification, language, packaging, connection or supplied documentation. A focused assessment therefore requires clarity about the original intended market and whether the goods can be sold elsewhere without modification.
Where applicable and available, provide:
- the original country, language or market version;
- exact item, model and EAN numbers;
- differences in specification, packaging or supplied components;
- available product, safety and conformity documentation;
- applicable warranty, service or product-support arrangements;
- known quality notices, product warnings or recalls;
- commercial arrangements with the supplier, brand owner, customers or sales channels that may affect onward sale.
Because an importer or distributor is not always the brand owner, it must be clear which existing arrangements apply and who may change or supplement them. Stock & Trade then assesses whether the documentation and conditions are sufficiently clear and workable for a potential purchase.

Direct purchase of the defined distribution stock
Stock & Trade buys the agreed distribution stock directly from the legal entity that owns the goods and is authorised to sell them. If the stock is held by an external logistics provider, a central distribution centre or another group company, that location is not automatically the selling party.
The defined stock may include several brands, item groups and locations. Where parts have different owners, separate proposals, agreements, invoices or transfer arrangements may be required.
Following the agreed transfer, Stock & Trade assumes responsibility for further commercial handling and the resale risk, within any resale conditions specifically agreed in advance.
