Sell stock from European head offices and group companies

Stock & Trade buys defined surplus stock lots from European head offices and group companies. Stock from one or more countries can be assessed within one centrally coordinated process.

The companies involved do not need to combine their stock into one legal or administrative lot in advance. The assessment must, however, make clear which goods belong to each group company, where they are located, which legal entity owns them and which acts as the seller.

One corporate group, several legally separate stock lots

A European corporate group may internally treat stock from different countries as one joint file. Legally, however, the goods do not automatically belong to the head office or one central group company. They may be owned by separate sales organisations, distribution companies or other legal entities within the group.

A consolidated stock overview therefore does not automatically form one saleable stock lot. Each individual part must continue to show clearly:

  • which legal entity owns the goods;
  • the country and physical location where the stock is held;
  • which products and quantities belong to that part;
  • which legal entity ultimately acts as seller and invoicing party;
  • which local or group-wide conditions apply to the sale.

The stock does not need to be combined administratively or legally in advance. Stock & Trade can assess the separate lots within one commercial file, provided it remains clear which goods are offered by which group company.

Central coordination and local authority to sell

A European head office may coordinate the sale process centrally. It can bring together the group companies involved, collect stock data, determine the commercial principles and act as Stock & Trade’s permanent point of contact.

Central coordination does not automatically mean that the head office may sell every local stock lot. Where goods are owned by a separate group company, it must be clear who within that legal entity may approve the sale and enter into the agreement.

Authority may be organised in different ways:

  • the head office coordinates while each local stock owner separately approves its own sale;
  • one group company owns several European stock lots and acts centrally as the seller;
  • a central organisation is demonstrably authorised to act on behalf of the group companies involved;
  • the commercial conditions are established group-wide, but the agreement and invoicing are handled by each local legal entity.

In all cases, Stock & Trade can work with one central contact and one coordinated file. For the final purchase, each stock lot records which owner or demonstrably authorised party agrees the sale.

When stock becomes available at group level

Stock may become available at group level when a central decision affects several countries, sales organisations or stock locations. The goods do not need to be released at the same time or by every group company.

Group-specific reasons include:

  • closing, merging or relocating European sites;
  • centralising warehouses, inventory management or distribution activities;
  • changing the European distribution or supply-chain structure;
  • harmonising product ranges following an acquisition, merger or internal reorganisation;
  • ending or changing a local sales or distribution activity;
  • transferring a product group or market responsibility to another group company;
  • differences in local market demand, leaving stock in one country while it remains saleable elsewhere;
  • a group-wide decision to cease serving certain markets, product lines or sales channels.

An offer may therefore comprise one stock lot created by a group decision or several related lots from different group companies. Stock & Trade assesses them together, while each part continues to show when it was released and which organisation may dispose of it.

One coordinated offer or separate stock lots?

Stock from several European group companies may be submitted to Stock & Trade in one coordinated file. A consolidated stock export, supplemented by the origin of each part, is sufficient for the first assessment.

Depending on the composition, the next stage can be structured in different ways:

  • one overall proposal where one legal entity owns and sells the full stock;
  • one coordinated proposal with a separate allocation for each group company;
  • separate proposals where ownership, product mix, stock location, transfer date or sale conditions differ materially;
  • a partial proposal where not every stock lot offered qualifies for purchase.

Even where several proposals, agreements or invoices are required, the process can be managed centrally. The group companies involved do not each need to complete an entirely separate process.

Together with the central contact, Stock & Trade determines which structure fits the stock and the legal entities involved. This keeps the commercial process manageable without artificially combining legally separate stock lots.

Keep stock identifiable by country, owner and location

Within an international corporate group, stock owned by one entity may be distributed across several countries and warehouses. Conversely, one central warehouse may hold goods belonging to different group companies. The stock may also be physically managed by another group company or an external logistics provider.

The physical location therefore does not automatically determine who owns or sells the goods. Each part must retain a clear link between the products, the country and location where they are held, the legal entity that owns them and the organisation that acts as seller.

This separation can be shown in the existing records in different ways:

  • separate inventory files or tabs for each group company or location;
  • one consolidated export with fixed columns for owner, seller, country and warehouse;
  • an additional mapping table linking internal stock or location codes to the legal entities involved.

A new administrative classification is not required, provided Stock & Trade can clearly link the goods and quantities to the correct owner and location. Stock whose ownership, availability or origin has not yet been confirmed must remain separately identifiable until the position is clear.

Which group-specific data is relevant?

A complete legal group overview is not required for the first assessment. An existing list of group companies, organisational chart or consolidated stock export may serve as a starting point, provided the legal entities and stock lots involved are identifiable.

Where relevant, state:

  • which group companies are participating in the process;
  • which organisation coordinates the file centrally;
  • who acts as the central contact;
  • which legal entity owns each part of the stock;
  • which organisation physically manages the goods;
  • who may approve the sale for each group company;
  • which legal entity acts as seller and invoicing party;
  • the countries and locations where the stock is held;
  • how internal company, warehouse and stock codes are linked to the correct legal entity;
  • the date from which each stock lot is available;
  • whether all lots must be assessed at the same time or may be submitted in phases;
  • which sale conditions apply centrally and which differ by country, owner or stock lot.

If information is still missing at the first submission, state which group company or stock lot it concerns and who can confirm it. Stock & Trade can start the commercial assessment centrally and then obtain the required evidence for each legal entity in a targeted manner.

This means the corporate group does not have to build a new joint file, while ownership, decision-making, invoicing and transfer remain correctly separated throughout the process.

Commercial arrangements at group and country level

Within a European corporate group, certain commercial principles may be determined centrally, while other conditions differ by country, group company or stock lot. When submitting the stock, therefore, make clear which arrangements should apply to the complete file and where local variations are required.

Group-wide principles may, for example, concern:

  • the confidentiality with which the file is handled;
  • the countries, regions or sales channels in which the stock may or may not be offered;
  • the presentation of brands, product information and packaging;
  • the timing or order in which different stock lots may be processed;
  • the information on subsequent sales that is to be reported centrally.

Local conditions may arise from existing distribution agreements, market responsibilities, product registrations or the commercial interests of a separate group company. They must be clearly linked to the stock lot to which they apply.

Stock & Trade then assesses whether the requested conditions are workable and how they affect a possible purchase. A principle only becomes an agreed sale condition when it has been specifically recorded in advance and accepted by the parties involved.

Where several group companies participate, the joint arrangements can be included in one central framework and the variations recorded separately for each legal entity or stock lot. This keeps the commercial approach consistent throughout the group without overlooking local restrictions or responsibilities.
