What does direct purchase mean?
Price, payment, transfer of title and any resale conditions are clearly recorded in advance. After the agreed transfer, we take the goods for our own account and at our own risk and can arrange collection and transport if required.
Your organisation sells one clearly defined stock submission to Stock & Trade. We record in advance which goods form part of the transaction and the applicable price, conditions and timing.
Stock & Trade acts as buyer. We do not offer the stock on your behalf, hold it on consignment or account to you afterwards based on individual resales. Purchase is not conditional on first finding other buyers.
After agreement, the stock is paid for and transferred under the recorded conditions. Subsequent sales speed and proceeds do not affect the purchase price agreed with your organisation.
You sell the agreed stock directly to Stock & Trade, without intermediation or dependence on later resale.

One agreement for the agreed stock
The stock is recorded in one agreement or order confirmation. An associated list may include different items, models, SKUs, quantities and conditions, but these rows do not form separate sales transactions.
We clearly determine which goods are and are not included. The commercial and practical arrangements then apply to the complete defined stock.
Your organisation therefore need not negotiate, invoice or sell each item or product group separately. The complete agreed stock can be handled within one commercial and administrative process.
Multiple items and SKUs are brought together in one clear agreement for the full agreed stock.

What responsibilities does Stock & Trade assume?
After the agreed transfer, we handle further processing and sale of the purchased stock, including managing the trading stock, determining the sales approach and finding suitable buyers within the arrangements.
Stock & Trade then bears the commercial resale risk. The eventual speed, proceeds and price development do not affect the agreed purchase price.
We also organise individual sales transactions, customer handling and further distribution. Your organisation therefore need not sell item by item or wait for later sales results.
After transfer, Stock & Trade assumes further commercial handling and the resale risk of the stock purchased.

A specific offer with clear conditions
Where direct purchase is possible, you receive a specific offer setting out:
- the goods and quantities covered;
- the purchase price and whether it is structured as a total, by group or by item;
- assumptions concerning condition, completeness and available information;
- the offer's validity;
- conditions for acceptance and completion;
- timing for payment and transfer.
Resale restrictions, confidentiality arrangements or necessary checks are also stated. It is therefore clear what the offer is based on and which arrangements form part of the transaction.
If actual quantities or condition differ at transfer, the method for establishing and processing the difference is agreed in advance.
A specific offer makes clear what Stock & Trade will purchase, at what price and under which conditions.

Payment, transfer and risk
For every direct purchase, we agree when payment will be made and the applicable conditions. Depending on the transaction, payment may take place before collection, on transfer or within an agreed period.
We also agree where and when goods are transferred, who organises transport and when the risk of loss or damage passes to Stock & Trade. This includes clear arrangements for preparation, loading, costs and both parties' responsibilities.
Where Stock & Trade coordinates collection, it covers only the goods included in the purchase. Transfer may take place once or, if agreed in advance, in several stages.

Destination markets, sales channels and brand presentation
Conditions can be agreed in advance for onward sale, such as excluding certain countries or channels, treating origin confidentially or setting guidelines for brand and product presentation.
We assess whether these conditions are commercially, practically and legally feasible. Those forming part of the purchase are clearly recorded so both organisations know the applicable framework.
Within that framework, Stock & Trade determines the sales approach and markets. Agreed packaging, label or presentation changes are made only where legally permitted and necessary product information remains intact.
Clear resale conditions can enable direct purchase while respecting relevant brand, market and channel interests.

Suitable for one-off and recurring stock
Direct purchase can apply to a one-off lot or recurring flow. In both cases, Stock & Trade is the buyer of the stock defined together.
For a one-off lot, we agree one specific submission. Where surplus stock arises regularly, the same form of direct sale can be used for new submissions. Each is assessed and recorded separately.
Frequency changes neither the buyer nor how transfer occurs. With recurring stock, we can build on experience and standing working arrangements.

Questions and answers
Frequently asked questions about direct purchase
When is a direct purchase final?
The purchase is final once both parties have accepted it and its conditions and any preconditions have been satisfied. The offer or agreement therefore states its validity and the confirmation required.
Must the seller be able to dispose of the stock fully?
Yes. The selling organisation must be authorised to sell and disclose any retention of title, security interests or third-party claims in advance, so it can be established that the stock may be validly transferred to Stock & Trade.
Does Stock & Trade assume all legal product responsibilities?
No, not automatically. Each organisation remains responsible for the legal obligations applicable to its own role in the supply chain. A manufacturer, importer, distributor or seller may retain responsibilities that do not disappear or transfer solely through the sale. We therefore discuss origin, lawful marketability, documentation and relevant responsibilities in advance. After transfer, Stock & Trade handles onward sale and customers for the purchased stock and complies with the obligations applicable to Stock & Trade.
